1. Grant of Licence

Upon purchase of any Mopex product, Mopex Consulting Ltd grants the purchaser a non‑exclusive, non‑transferable licence to use the product within their organisation.

2. Permitted Use

The purchaser may:

• Use Mopex templates, dashboards, and systems internally
• Adapt content for internal operational use
• Share materials within their organisation

3. Restrictions

The purchaser may NOT:

• Resell or redistribute Mopex products
• Share products outside their organisation
• Publish or upload products to shared/public platforms
• Rebrand or present products as their own intellectual property

4. Membership Interaction

Where purchased under Mopex Professional Membership:

• Discounted pricing does not alter licence rights
• Licence remains restricted to the purchasing organisation
• Membership does not grant redistribution or resale rights

5. Intellectual Property

All Mopex content remains the intellectual property of Mopex Consulting Ltd.

No ownership is transferred through purchase or use.

6. Limitation of Liability

Mopex products are provided for informational and operational use only.

Mopex accepts no liability for:

• Business decisions made using the products
• Outcomes derived from template use

7. Governing Law

This Licence is governed by the laws of England and Wales.

📄 Mopex Professional / Partner Licence

1. Grant of Licence

Mopex grants a non‑exclusive licence for consulting professionals or firms (“Partner”) to use Mopex products in the delivery of services to their clients.

2. Permitted Use

The Partner may:

• Use Mopex systems and tools in client delivery
• Adapt outputs for client‑specific use
• Deliver consulting services using Mopex frameworks

3. Key Condition

Mopex products must be used as:

✅Supporting tools within a consulting engagement

❌ Not sold or distributed as standalone products

4. Restrictions

The Partner may NOT:

• Resell Mopex tools as independent products
• Provide access to raw templates outside project use
• Rebrand Mopex systems as proprietary without licence
• Distribute Mopex IP across multiple clients as packaged deliverables

5. Licensing Model

Professional use may be subject to:

• Annual partner licence fees, or
• Project‑based licensing, or
• Combined product + consulting arrangements

6. Intellectual Property

All Mopex systems remain owned by Mopex.

Client deliverables may incorporate Mopex outputs, but:

• The underlying IP remains Mopex
• Use is restricted to the client context

7. Limitation of Liability

Mopex accepts no liability for:

• Consultant work performed using Mopex tools
• Client outcomes resulting from consulting delivery

8. Governing Law

This Licence is governed by the laws of England and Wales.

✅ White‑Label / Resale Licence

(For consulting firms selling Mopex‑based systems)

📄 Mopex White‑Label & Resale Licence

1. Grant of Licence

Mopex grants the Licensee the right to:

• Adapt
• Brand
• Package
• Resell

selected Mopex systems under agreed commercial terms.

2. Scope of Use

The Licensee may:

• Apply their own branding or client branding
• Package Mopex systems as structured offerings
• Distribute and sell to end clients

3. Conditions

The Licensee agrees:

• Mopex IP remains the underlying framework
• Use is limited to agreed product sets
• Distribution must follow agreed commercial terms

4. Commercial Model

Compensation may include:

• Per‑package licence fee (e.g. £250–£500 per system) OR
• Revenue share / royalty agreement (where applicable)

Details to be defined in Licence Schedule.

5. Prohibited Use

The Licensee may NOT:

• Sell raw Mopex templates individually without packaging
• Redistribute micro‑tools as standalone assets
• Sub‑license Mopex IP without permission

6. Intellectual Property

All Mopex frameworks, systems, and methodologies:

• Remain the intellectual property of Mopex Consulting Ltd
• Are licensed, not transferred

7. Audit & Compliance

Mopex reserves the right to:

• Request licensing usage information
• Review agreement compliance where necessary

8. Termination

Mopex may terminate the licence if:

• Terms are breached
• Payment obligations are not met

Upon termination:

• All resale rights cease
• Existing deployments may continue under agreed terms
